These Terms & Conditions ("Terms") govern access to and use of the websites, dashboards, APIs, and payment services (together, the "Services") provided by JDPay Solutions Inc. ("JDPay", "we", "us"). By accessing the Services or entering into a merchant agreement with us, you agree to these Terms.
1. Who we are
JDPay Solutions Inc. is a company organized under the laws of the Republic of the Philippines, with its registered office at 2905 Parkway Corporate Center, Parkway Place, Alabang, Muntinlupa, Metro Manila, Philippines. Operator of Payment Systems (OPS) / Merchant Acquisition License application in process with the Bangko Sentral ng Pilipinas (BSP).
2. Eligibility and accounts
The Services are intended for registered businesses operating in the Philippines. You must complete our onboarding and know-your-customer (KYC) and merchant due-diligence process and provide accurate, current, and complete information. You are responsible for safeguarding your account credentials and for all activity under your account, including maintaining two-factor authentication on dashboard logins.
3. The Services
JDPay provides, subject to your merchant agreement:
- QR Ph collection through hosted payment links and dynamic/static QR;
- disbursement via InstaPay and PESONet; and
- settlement and reporting of collected funds.
Services are delivered through licensed bank and e-money partners. Availability of specific features may depend on your merchant type, verification level, and applicable limits.
4. Fees and settlement
Fees, limits, and settlement timelines are set out in your merchant agreement and its commercial schedule. We may adjust fees with prior notice as permitted by your agreement and applicable law.
5. Acceptable use
You agree not to use the Services for any unlawful, fraudulent, or prohibited activity, including any activity that violates BSP regulations, anti-money-laundering and counter-terrorism-financing laws, sanctions, or the rules of our partners and the QR Ph, InstaPay, and PESONet networks.
6. Compliance and monitoring
We conduct merchant due diligence, screening, and transaction monitoring. We may request additional information, hold or reverse transactions, or suspend or terminate access where required by law, regulation, partner rules, or risk controls.
7. Data privacy
Our handling of personal data is described in our Privacy Policy, which forms part of these Terms.
8. Service availability and liability
We work to provide a reliable service but do not warrant uninterrupted or error-free operation. To the maximum extent permitted by law, our liability is limited as set out in your merchant agreement. Nothing in these Terms limits liability that cannot be limited under Philippine law.
9. Changes to these Terms
We may update these Terms from time to time. Material changes will be communicated through the Services or by other reasonable means, and your continued use constitutes acceptance.
10. Governing law
These Terms are governed by the laws of the Republic of the Philippines, without regard to conflict-of-laws principles.
